Counsel II

Duties: The candidate will ensure compliance with all securities laws, including the '33 Act and '34 Act and Nasdaq listing standards. Support preparation of all required filings and forms under the ’33 Act and ’34 Act, including Form 10-Ks, 10 Qs, 8-Ks, proxy statements, registration statements, and Section 16 reports. Monitor and provide counsel on U.S. securities and governance laws, regulations, rules, and trends. Provide legal advice to the Company's executive leadership, Board of Directors, and other key personnel on a broad range of issues related to securities and corporate law, management of the Board and its committees, and current trends and practices. Manage the Company’s insider trading compliance program. Prepare and manage the Company’s annual meeting of shareholders. Provide support for the Board of Directors, including Drafting and maintaining minutes for all Board and committee meetings; Preparing and maintaining Board and committee materials and documents. Preparing, maintaining, and ensuring compliance with key governance policies. Monitoring trends and issues related to proxy advisors. Developing and maintaining a Director orientation and training program. Provide assistance as a member of the Disclosure Committee.
