Legal Counsel
The candidate will be integrating and partnering with the business unit leadership team, providing sound legal advice and risk mitigation measures to ensure successful business outcomes. Advising the Company on the litigation and regulatory risks of possible business decisions and offering advice on how to best manage those risks, while anticipating and advising on the fallout and related issues that will necessarily result from those earlier decisions. Reviewing solicitations, strategizing approaches for responding, drafting sections addressing particularly legal topics. Advising on pursuing or defending bid protests and selecting and managing outside bid protest counsel when needed. Counseling on both the business and legal ramifications of significant Company strategic initiatives, including possible mergers and acquisitions, dispositions, joint ventures and transactions. Assisting with complex or risk-sensitive terms and conditions, such as limiting liability, indemnification, and grounds for termination. Developing and implementing intellectual property protection strategies, including drafting, and negotiating relevant agreements. Strategizing and negotiating teaming relationships. Strategizing, advising and leading steps to resolve disputes, and selecting and managing outside litigation counsel when needed. Maintaining currency on U.S. Government Contracting topics such as Government cost accounting, intellectual property, Other Transaction Authority, Foreign Military Sales, bid protest regulations and caselaw, claims regulations and case law, and dispute resolution including mediation, arbitration, and other forms of alternative dispute resolution. Managing all legal aspects of all legacy matters, any ongoing regulatory issues or inquiries, and compliance with laws and regulations, including FAA regulations and other regulations pertaining to the heavily regulated general aviation industry. Preventive legal counseling, particularly with respect to the legal risks associated with business practices. Develop policies and provide guidance and direction to senior management regarding compliance with FCPA, antitrust, corporate conduct, and other policies. Participating in and contributing to Legal Department discussions on corporate-wide topics, policies, and procedures. Participating in and contributing to Legal Department updates on changing laws and regulations and other continuing education. Other duties as assigned by Executive Management.
