Compliance Counsel
Responsibilities: Provide legal guidance to Corning’s Trade Compliance personnel and applicable business unit personnel on a variety of issues regarding U.S. export controls and sanctions; perform work such as investigating possible areas of noncompliance; drafting and submitting license applications and voluntary disclosures; and overseeing product classification by the Compliance Specialist role. Oversee the review of U.S. government contract FAR/DFAR flowdown requirements; advise business unit personnel on U.S. government contract regulatory issues; support legal issues related to subcontractor management in connection with U.S. government contracts and similar issues. Research and advise on legal issues impacting the organization by identifying applicable statutes, regulations, and judicial decisions related to assigned areas of U.S. regulatory compliance. Develop and provide training to company personnel on relevant substantive legal topics, such as export control. Oversee and advise on the proper classification of the company’s commodities under applicable export control regulations. Review potential activities for certain countries to ensure compliance with all applicable sanctions and embargoes, collaborating as required with other company personnel responsible for jurisdictions outside of the U.S. Conduct internal assessments of applicable areas of U.S. regulatory compliance. Conduct internal investigations related to any alleged infractions or violations of U.S. regulatory requirements as well as in support of Corning’s Corporate Compliance Program (e.g., alleged violations of Corning’s Code of Conduct). Review, assist in drafting, and approve export licenses. Write and manage Technical Assistance Agreements (TAAs), Manufacturing License Agreements (MLAs). and Warehouse and Distribution Agreements (WDAs) as required. Consult with and oversee work by outside counsel as required in support of U.S. regulatory requirements. Provide other support for Corning’s Corporate Compliance Program as directed.
