Job Overview:
A distinguished national law firm is seeking an experienced Corporate Securities Attorney to support its expanding Corporate Business Unit. This role is ideal for attorneys with 5–12 years of experience in securities law, looking to take on complex, high-level matters involving SEC filings, capital markets transactions, and compliance. The position offers flexibility in terms of location, with opportunities available in various U.S. offices or through remote arrangements.

Location:

• Birmingham, MI

Duties:

• Prepare and submit filings with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

• Advise clients on public company reporting obligations and securities compliance

• Draft Forms 10-K, 10-Q, 8-K, registration statements, and proxy statements

• Assist clients with capital markets transactions and private offerings

• Provide corporate governance counsel to boards and executive teams

• Interpret changes in securities laws and update clients accordingly

• Collaborate on mergers, acquisitions, and strategic business transactions

Requirements:

• 5–12 years of experience in securities and corporate law

• Substantial experience handling SEC filings and advising on compliance matters

• Familiarity with federal securities laws and exchange rules

• Capability to manage sophisticated client matters independently

Education:

• Juris Doctor (J.D.) from an accredited law school

Certifications:

• Licensed to practice law in a U.S. jurisdiction

• Eligibility for admission without examination in the work location, if required
