A law firm seeks an associate with expertise in corporate capital markets to join their team in Chicago, IL. The role involves representing issuers and underwriters in various securities offerings and advising on SEC compliance matters.

Duties

• Represent issuers and underwriters in public and private securities offerings.
• Advise on SEC reporting and compliance matters.
• Support corporate governance and NYSE/Nasdaq compliance.
• Draft, review, and negotiate offering and transaction documentation.
• Coordinate with regulatory authorities and stock exchanges.
• Conduct legal research on regulatory compliance and corporate governance.
• Collaborate with colleagues on cross-border and multi-disciplinary deal teams.
• Participate in client calls and manage transaction timelines and deliverables.

Requirements

• At least 3 years of relevant capital markets or corporate transactional experience.
• Experience with equity capital markets, including underwritten offerings and registered directs.
• Proficiency in drafting registration statements and Exchange Act disclosures.
• Admitted to the bar in the jurisdiction of practice.
• Excellent legal drafting, analytical, and writing skills.
• Ability to manage multiple deadlines under pressure.

Education

• J.D. (or equivalent).

Certifications

• Bar admission in the relevant jurisdiction.
