Duties

• Draft and review entity formation documents and corporate resolutions.
• Assist with business structuring, reorganizations, and governance matters.
• Support mergers, acquisitions, and business sales.
• Conduct and manage corporate due diligence.
• Prepare closing documents and coordinate pre- and post-closing requirements.
• Draft and review real estate documents, including leases and easements.
• Assist with commercial real estate acquisitions and financings.
• Coordinate real estate due diligence and regulatory review.
• Support land use, zoning, and entitlement matters.
• Work with governmental agencies and project stakeholders.
• Collaborate with partners and support staff on legal strategy.
• Participate in client communications and negotiations.

Requirements

• Active member of the Hawai'i State Bar.
• 3-5 years of experience in business, real estate, or land use law.
• Strong drafting, analytical, and communication skills.
• Ability to manage multiple matters independently.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications

• Active Hawai'i State Bar membership.

Skills

• Experience in commercial real estate transactions.
• Knowledge of land use, zoning, and entitlement matters.
• Familiarity with transaction management systems.
• Understanding of Hawai'i-specific real estate issues.
