A nationally recognized law firm is seeking a Principal Attorney with significant experience in capital markets transactions and securities law to join its Business Practice Group. This role offers the opportunity to work with a broad client base of public and private companies, advising on sophisticated securities matters, public offerings, and corporate governance across a range of industries. The successful candidate will have access to a collaborative team across multiple offices and a strong platform for business development.

Counsel clients on public and private securities offerings, SEC compliance, and reporting obligations
Advise on corporate governance matters, including fiduciary duties and disclosure requirements
Lead and manage transactions involving equity and debt capital markets
Draft, negotiate, and review offering documents, registration statements, and periodic reports
Represent issuers and underwriters in public offerings and private placements
Collaborate with attorneys across practice groups on multidisciplinary matters
Provide strategic regulatory advice to public companies, boards of directors, and management teams
Assist clients with regulatory filings and ongoing disclosure obligations
Support client development efforts and participate in firmwide business initiatives
Minimum of 7 years of experience in securities law, public securities offerings, capital markets transactions, SEC compliance, corporate governance, and related matters
Portable book of business required
Proven ability to independently manage complex corporate and securities transactions
Demonstrated commitment to client service and strategic counseling
Excellent communication, analytical, and organizational skills
Ability to manage multiple matters simultaneously and work collaboratively with colleagues
Juris Doctor (J.D.) degree from an ABA-accredited law school
Active license to practice law
Expertise in federal securities laws, including the Securities Act of 1933 and Securities Exchange Act of 1934
Deep understanding of public company disclosure obligations and capital raising structures
Strong drafting and negotiation skills for transactional and regulatory documents
Practical, business-focused problem-solving capabilities
Excellent written and verbal communication skills
Effective leadership in transaction management and client counseling
