Counsel, Corporate Governance-

The candidate leads and performs various corporate governance/entity management activities relating to the firm subsidiaries, including annual shareholder meetings, board of director meetings, consents and resolutions, officer and director updates, state filings, and corporate formations and dissolutions. Leads the administration and maintenance of the entity management database (currently hCue) that contains relevant information regarding all the firm subsidiaries; ensures the accuracy and completeness of the database. Part of the team responsible for Federal Reserve entity reporting (FRY-10) relating to the firm subsidiaries, as well as an annual review and confirmation process for annual (FRY-6) Federal Reserve reporting. Coordinates outside services and act as a liaison with third party providers, including current vendor, CT Corporation, responsible for entity management database system and state filings. Conducts legal research and analysis and provides counsel with respect to areas of responsibilities (entity management, corporate governance, and Federal Reserve reporting). Researches and obtains corporate name availability and employer ID numbers. Develops and maintains policies and procedures relating to areas of responsibilities. Develops and maintains library of preapproved documents, including consents and resolutions, contracts and clauses, templates and historical documents, and revises materials as needed. Provides periodic training regarding relevant corporate governance, entity management, and Federal Reserve reporting policies and procedures. Performs other duties and responsibilities as assigned. Law Degree and 2+ years’ experience of progressively responsible experience in relevant practice area (law firm, regulator or self-regulatory organization, and/or in-house in a related area involving financial institutions preferred). OR Any equivalent combination of experience, education, and/or training approved by Human Resources is required. Member in good standing in at least one State Bar is required.
