Vice President Tax
The candidate will lead the tax planning, tax accounting, tax compliance, tax planning and tax audit functions for the Company and its domestic and foreign subsidiaries. Proactively assess the projected impact of legislative and regulatory developments affecting federal, state, local and international tax compliance and tax planning. Oversee the timely and accurate preparation of all corporate income tax returns. Oversee the tax aspects of the Company’s external financial reporting, including computation of the quarterly and annual effective tax rate, drafting of the tax disclosures in Forms 10Q and 10K and working with the Company’s external auditors. Manage and successfully resolve audits of the Company by the taxing authorities, including federal, state and local corporate income tax audits, sales and use tax audits and employment tax audits. Structure and negotiate the tax aspects of acquisitions, divestitures and joint ventures. Recommend and implement internal restructurings to promote tax efficiencies. Advise on indirect taxes including sales and use taxes. Assist in managing foreign tax matters, including corporate income tax, tax treaties, permanent establishments, foreign withholding taxes and value added taxes. Provide guidance on employment taxes and the tax aspects of employee benefit programs and executive compensation plans. Manage relationships with outside advisors including accounting firms and law firms. Partner with in-house and outside counsel on drafting and negotiating the tax provisions of contracts and other legal documents. Develop and deliver presentations to senior management regarding tax results and risks/opportunities affecting the business. Juris Doctor or CPA required; LL.M. or Masters in Taxation is a plus. Should have 18+ years of tax experience (preferably obtained in both industry and with an international law firm or Big Four accounting firm). Should have 10+ years experience as a people manager and 5+ years as leader of leaders.
