A nationally recognized law firm is seeking a Principal Attorney specializing in securities law and capital market transactions. This role offers an excellent opportunity for a partner-level attorney with a portable book of business to advise both large and small businesses on sophisticated capital markets and corporate governance matters across a variety of industries. The position provides an outstanding platform to collaborate with experienced attorneys across multiple major offices.

Advise clients on public securities offerings and compliance with SEC regulations
Counsel public companies on corporate governance requirements and disclosure obligations
Lead and manage transactions involving equity and debt capital markets
Draft, negotiate, and review offering documents, registration statements, and SEC filings
Provide strategic advice to boards of directors and executive management teams
Support regulatory filings, reporting obligations, and ongoing compliance for public companies
Collaborate across practice areas on interdisciplinary client matters
Assist in client development efforts and relationship management
Minimum of 7 years of experience in securities law, capital markets transactions, SEC compliance, and corporate governance matters
Portable book of business required
Demonstrated ability to lead complex corporate and securities transactions independently
Strong client service orientation and responsiveness
Excellent written, verbal, and analytical communication skills
Ability to manage multiple matters and prioritize competing demands
Juris Doctor (J.D.) degree from an ABA-accredited law school
Active license to practice law
Expertise in federal securities laws, including the Securities Act of 1933 and Securities Exchange Act of 1934
Strong knowledge of public company governance and disclosure requirements
Exceptional drafting and negotiation abilities
Strong legal research and strategic counseling skills
Business-oriented problem-solving mindset
Ability to work both independently and collaboratively within a multidisciplinary team
