Mid-level Corporate, Mergers and Acquisitions Associate

The candidate must have 3+ years of M&A experience to support the office’s strategic growth plan. Should preferably have in-depth experience in: drafting and negotiating purchase agreements and other transaction documents relating to acquisitions of publicly traded and privately held companies; overseeing due diligence investigations of acquisition targets; preparing acquisition-related proxy statements, tender offer documents and information statements; and organizing closings of complex M&A transactions. Must be familiar with the application of the federal securities laws to M&A transactions and with Delaware jurisprudence relating to directors' responsibilities in the M&A area. Experience in working with technology and life sciences companies is also desirable. Should be prepared to devote substantial time to continuing to develop their transactional M&A skills and expertise and to training junior M&A associates. Must also have outstanding writing and analytical skills, top academic credentials and a commitment to excellence.
