Duties

• Advise on and execute entity selection and formation.
• Draft operating agreements, bylaws, and corporate resolutions.
• Lead the drafting and negotiation of Asset Purchase Agreements and related documents.
• Handle commercial and residential real estate transactions, including leasing and title matters.
• Provide strategic advice as an "outside general counsel" for small to mid-sized businesses.

Requirements

• 5+ years of dedicated transactional experience.
• Active member in good standing with the Ohio State Bar.
• Strong attention to detail in contract drafting and corporate law.
• Ability to translate complex legal concepts into actionable advice.
• Interest in contributing to the firm's growth in its transactional department.

Education

• Doctor of Law (JD)
