A law firm seeks a mid to senior-level corporate associate in Short Hills, NJ. The role involves public company reporting, compliance, corporate governance, and capital markets. The associate will work with public companies and support the national capital markets and public company advisory practice.

Duties

• Conduct thorough legal research and analysis for transaction preparation.
• Draft legal documents, including memos and contracts.
• Assist in managing complex transactions from inception to resolution.
• Build and maintain strong client relationships.
• Collaborate with lawyers and business professionals on transaction strategies.
• Participate in high-level legal activities, including client meetings.
• Ensure compliance with legal standards and regulations.
• Engage in professional development opportunities.
• Contribute to firm programs and pro bono work.

Requirements

• Minimum 4 years of experience in public company and capital markets.
• Experience with public companies and periodic reporting.
• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Experience with Nasdaq and NYSE listing and governance requirements.
• Experience with issuers, underwriters, and financial intermediaries.
• AmLaw 100 law firm experience preferred.

Education

• JD degree from an accredited law school.

Certifications

• Admitted to practice in the state of New Jersey.
