Financial Services Associate
The candidate will interact on a regular basis with Financial Services group members throughout the US and overseas. Will provide a full range of the highest-quality legal services to corporate borrowers as well as various regional, national and international financial institutions. Structure, negotiate, and document closing mechanics for bilateral and syndicated corporate loans, acquisition financing facilities, securitization and other structured finance products, asset finance for various asset classes, private debt placements and project finance facilities. Should have a U.S. Juris Doctor degree and be admitted to practice in a US State Bar and be in good standing. Admission to the OH State Bar is expected if not currently admitted. Must have 2+ years of experience with debt finance, bank finance and/or alternative capital finance. Experience with loan documentation for debt financings is required. Solid working knowledge of debt finance practices is needed. Experience drafting documents from term sheets and commitment papers is essential. Working knowledge of the Uniform Commercial Code and related bankruptcy implications is a must. Should preferably be experienced in both lender and borrower representations and have the motivation, ability and confidence to develop on an accelerated basis. Superior technical skills and drafting skills are needed. Experience working in a large corporate setting or law firm is preferred.
