Duties:

• Lead and manage complex corporate and securities transactions, including mergers, acquisitions, recapitalizations, and private equity investments.
• Oversee the structuring and formation of entities, joint ventures, and private securities offerings.
• Draft and review commercial contracts and provide legal advice on corporate governance.
• Collaborate effectively with clients and colleagues on legal strategies and solutions.
• Maintain a high standard of attention to detail in all aspects of legal work.

Requirements:

• Minimum 7 years of experience in corporate and securities law, with a focus on mergers and acquisitions, entity structuring, and finance.
• Experience working with real estate investment companies is a plus.
• Strong self-management skills and the ability to work independently on complex legal matters.
• Exceptional client communication skills and the ability to manage relationships effectively.

Education:

• Juris Doctor (J.D.) degree.
• Licensed to practice law in the State of Texas.

Certifications:

• Active membership in the Texas State Bar.
