Job Title: Senior-Level Corporate Associate Attorney

Job Overview:
A prominent law firm located in New York City is seeking a seasoned Corporate Associate with a strong background in securities and transactional corporate law. The role offers an excellent opportunity to engage with a nationally recognized legal practice handling complex capital markets transactions, regulatory filings, and strategic business combinations. Duties:

• Draft and review public and private securities offering documents, including PIPEs and other financing transactions

• Manage regulatory filings under the Securities Act of 1933 and Securities Exchange Act of 1934

• Advise on mergers and acquisitions, including structuring, due diligence, and closing

• Provide counsel on general corporate governance, entity structuring, and strategic legal matters

• Interpret and advise on SEC rules, guidance, and comment letters

• Support clients with ongoing disclosure obligations and compliance issues

• Collaborate with partners and other attorneys on complex matters with a proactive client-focused mindset

• Participate in business development activities and relationship management efforts

Requirements:

• Minimum of 5 years of experience handling corporate and securities matters

• Extensive experience with SEC regulations, filings, and corporate transactional law

• Strong familiarity with capital markets, public offerings, and private placements

• Demonstrated ability to independently manage client matters and multitask under deadlines

• Proven track record of working with entrepreneurial businesses and/or investors

Education:

• Juris Doctor (J.D.) from an accredited law school

Certifications:

• Active and good standing membership in the New York State Bar

Skills:

• In-depth understanding of U.S. securities laws and M&A processes

• Exceptional attention to detail and drafting precision

• Effective interpersonal and client communication abilities

• Self-directed, solution-oriented approach to legal problem-solving

• Strong organizational and project management skills
