A law firm seeks a Commercial Contracts Counsel in Washington, DC. This role involves leading the firm's third-party contract review process, including drafting, editing, reviewing, and negotiating key contractual terms. The position serves as a liaison between various departments to facilitate vendor and service provider contract reviews.
Duties
- Draft, review, and negotiate vendor and service provider contracts, including software/SaaS, cloud services, and data protection agreements.
- Lead and collaborate throughout the contract review process, aligning terms with firm policies.
- Develop and implement contracting playbooks, templates, and workflows.
- Identify compliance vulnerabilities and develop corrective action plans.
- Provide guidance to the Procurement team and collaborate with the General Counsel's Office.
- Support the firm's cyber-security insurance program and related initiatives.
- Assist with governance matters and legal compliance issues.
- Participate in special projects and other responsibilities as assigned.
Requirements
- Juris Doctor (JD) degree and active bar membership in good standing.
- Minimum of five years of experience in drafting, reviewing, and negotiating commercial contracts.
- Expertise in software/SaaS agreements and professional services agreements.
- Strong knowledge of legal concepts and industry practices applicable to commercial contracts.
- Effective oral and written communication skills.
- Strong organizational skills and attention to detail.
- Ability to manage multiple priorities in a fast-paced environment.
- Experience with privacy and data protection laws is a plus.
Education
- Juris Doctor (JD) degree.
Certifications
- Active bar membership in good standing.
