Job Overview

A law firm seeks an Employee Benefits & Executive Compensation Associate with 3 to 6 years of experience to join its team in Charlotte, NC. The successful candidate will support client teams on executive compensation matters, particularly for public companies, and on the compensation and benefits aspects of M&A transactions. Strong communication, research, and analytical skills are essential.

Duties

• Draft equity and incentive plan documents and related award agreements.
• Assist with executive hiring and termination events, including employment and severance agreements.
• Prepare public company executive compensation disclosures and ensure SEC compliance.
• Draft and analyze nonqualified deferred compensation plans and similar arrangements.
• Support transactional work, including due diligence and preparation of disclosure schedules.
• Monitor and summarize legislative and regulatory changes.
• Contribute to thought leadership and knowledge management initiatives.

Requirements

• Licensed and in good standing in the state of practice.
• Experience with IRC sections 409A and 280G.

Education

• Juris Doctor (JD) degree.

Certifications

• Bar admission in the relevant state.

Skills

• Strong written and oral communication skills.
• Excellent research and analytical abilities.
