Mergers & Acquisitions Attorney
The candidate will review M&A pipeline review decks and drive review by antitrust counsel of potential targets, including coordinating input from the applicable business unit technologists. Prepare and negotiate non-disclosure agreements (and reviewing and responding to those submitted by potential targets’ counsel or investment banks). Work with internal tax and finance groups and external counsel on transaction structuring. Prepare and advise the deal team regarding the negotiation of term sheets. Conduct and coordinate outside counsel’s due diligence reviews (both preliminary and comprehensive) of potential targets, including coordinating with IP counsel. Coordinate with Law Department groups as necessary to ensure Law Department’s awareness of and involvement as needed in due diligence investigations. Prepare legal and IP due diligence report-outs for the business and deal team. Work with outside counsel on preparation of definitive transaction documentation, working with the M&A deal lead to drive agreement negotiations. Drive resolution of pre-closing and closing activities. Work with the M&A Legal Integration Lead to prepare post-signing and post-closing presentations on due diligence findings for the Law Department and affected corporate and business groups. Develop and communicate responses to critical legal issues as they arise. Work closely with the M&A Legal Integration Lead to facilitate integration efforts. Advise the M&A deal team and coordinate the legal aspects of preparing businesses for sale, including working with IP counsel to assess separability of assets and technology, with antitrust counsel to assess potential buyers and CFIUS counsel to assess scope of national security issues associated with the transfer of sensitive technology. Work with outside counsel to prepare documentation for divestitures. Assist in the preparation of playbooks and process improvements for the M&A group and participate in company-wide M&A training programs JD from a nationally-recognized law school are required. 7 years of total experience with a practice focused on mergers and acquisitions in a large, international law firm, with at least 2 of those years doing deals with a strong cross-border component for technology companies are required. Understanding of the entire M&A process and desire to learn and participate in legal integration efforts are required. Superior attention to detail and follow-through are required. Maturity, tact, business judgment, sound decision-making and a ready sense of humor are required. Strong communication and presentation skills are required.
