Duties

• Advise financial institutions on securities offerings under the Securities Act of 1933.
• Represent issuers and underwriters in registered and exempt transactions.
• Handle disclosure requirements and offering documentation.
• Manage compliance matters under the 1933 Act.
• Engage in esoteric asset-backed securities offerings and registered equity underwriting offerings.
• Participate in public-company M&A and at-the-market offerings.
• Work with special purpose acquisition companies.

Requirements

• 4-6 years of relevant experience.
• Familiarity with disclosure requirements and compliance under the 1933 Act.
• Background in general capital markets or leveraged finance preferred.
• Strong interest in securities law.
• Superior academic credentials.
• Prior experience at a large law firm.

Education

• Juris Doctor (JD) degree.

Certifications

• Admitted to practice law in New York.
