The candidate provides legal counsel and advice to executive management team and other senior management on various contractual and legal matters. Advice provided is practical, commercially astute, and concise, with the goal of advancing the business. Works closely with multiple business groups to draft, review and negotiate contracts, requests for proposals and other legal documents, while providing advice and counsel concerning contractual rights and obligations, potential liabilities, and risk analysis. Partners with cross-functional teams, identifies legal issues, and provides legal options/analysis of possible legal solutions, all while interacting with external counsel, advisors, external vendors, and businesses. Supports corporate and strategic transactions, including mergers and acquisitions, divestitures, and entity liquidations, conducting due diligence as needed. Acts as a liaison with industry regulators as appropriate to unlock creative solutions while ensuring compliance with industry regulations at the State and Federal level. Supports and trains compliance within the Sales and Marketing Teams. Drafts and negotiates commercial contracts (terms and conditions of sale/purchase of goods and services, NDA, service agreements, partnership agreements, shareholders' agreements, disputes, etc.). Delivers advice, drafting and legal support on vendor contracts and contract templates, including marketing vendors, ingredient suppliers and contract manufacturers. Leads and manages the Regulatory Compliance function. Engages directly with state and federal regulatory agencies to build and maintain relationships. Acts as a liaison between Company and agency on state licensing matters to ensure approval of and compliance with all licenses and permits. Provides guidance and support in the implementation and maintenance of strategies and tactics relating to regulatory issues, trade, and tax policies that impact Company business to secure competitiveness, facilitate market access and mitigate potential risks. Delivers advice and provides support on key alcohol product innovation topics, including state and federal alcohol laws, the three-tier system and trade practices. Researches legal matters relating to various business aspects of the industry, including trademark law and federal and state data privacy measures, and assists in drafting of related documents. Develops the Company's policies and trainings on industry-specific issues, corporate governance, regulatory affairs, and new laws affecting the company. Ensures all regulatory filings are completed timely and accurately. Performs all other related duties as assigned.
