A law firm seeks a Senior Corporate Associate in Richmond, VA. The candidate must be admitted to practice in Virginia or Delaware and possess excellent writing and research skills. Duties

• Handle corporate and transactional matters, including mergers and acquisitions, entity formations, and contract negotiations.
• Manage entity formations, qualifications, and maintenance matters.
• Draft and review corporate documents such as operating agreements and bylaws.
• Provide legal guidance on corporate compliance and governance.
• Assist out-of-state lawyers with local court rules and procedures.
• Conduct complex legal research and analysis.
• Manage day-to-day case activities and collaborate on case strategies.
• Draft and review pleadings, memos, and other legal documents.
• Take and defend depositions and communicate with local counsel.

Requirements

• Member of the Delaware Bar or Virginia Bar.
• Minimum of two years of corporate transactional experience.
• Comfortable with court appearances, arguing motions, and managing deadlines.
• Familiarity with local state and federal court practices.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications

• Admitted to practice in Virginia or Delaware.
