Job Overview:
A distinguished law firm based in Boston, MA, is seeking a Mid-Level Technology Transactions Associate Attorney through a recruiting partner. This opportunity is ideal for an attorney with 3-5 years of experience managing sophisticated technology-related commercial transactions across various sectors. The ideal candidate will advise clients on outsourcing arrangements, licensing deals, venture capital engagements, M&A support, and emerging technologies, including artificial intelligence and quantum computing.
Duties:
Draft, review, and negotiate complex commercial agreements involving technology, intellectual property, and data rights.
Structure and advise on strategic information technology and business process outsourcing projects.
Handle software licensing, ERP implementation agreements, SaaS, and other "as-a-service" models.
Support startups, venture-backed companies, and venture capital investors on technology commercialization and regulatory compliance.
Prepare marketing, advertising, e-commerce, and joint venture service agreements.
Collaborate with corporate teams on M&A transactions involving technology assets.
Stay updated on legal developments in technology, intellectual property, and data privacy.
Requirements:
3-5 years of focused experience in technology transactions at a major law firm.
Robust understanding of intellectual property and data privacy frameworks.
Exceptional drafting, negotiation, and communication abilities.
Ability to manage multiple complex matters efficiently and independently.
A proactive, business-oriented approach to legal counseling.
Experience or interest in artificial intelligence and quantum computing is considered a plus.
Education:
Juris Doctor (J.D.) degree from an accredited law school.
Certifications:
Admission to the Massachusetts Bar is required.
Admission to the Bar in Georgia, Illinois, or Texas is a plus (candidates must also be barred in their state of residence if different).
