Duties

• Advise clients on U.S. federal income tax aspects of mergers and acquisitions, partnership formations, and restructurings.
• Structure and analyze transactions involving partnerships, LLCs, and corporations.
• Draft and negotiate tax provisions in various agreements.
• Provide tax support on real estate joint ventures and other transactional matters.
• Conduct tax diligence and prepare memoranda analyzing transaction structures.
• Collaborate with attorneys across corporate, real estate, and finance practices.

Requirements

• Experience drafting and negotiating complex transactional documents.
• Strong background in domestic partnership and corporate tax matters.
• Demonstrated analytical, drafting, and negotiation skills.
• Excellent academic credentials and attention to detail.
• Ability to manage multiple matters and interact directly with clients.

Education

• Juris Doctor degree from an ABA-accredited law school.

Certifications

• Active California Bar admission.
