Job Overview

A law firm seeks a mid to senior level transactional associate to join its Corporate and Securities Practice Group in Boston, MA. The associate will collaborate within a dynamic, multi-office team representing public company clients and others.

Duties

• Advise on 1933 Act equity and debt securities offerings.
• Handle 1934 Act matters, including proxy statements and periodic reporting.
• Prepare and review Forms 8-K, 10-K, and 10-Q, and manage Section 16 reporting.

Requirements

• Minimum of 4 years of corporate and securities experience in a large regional or national law firm.
• Excellent academic credentials.
• Outstanding written and oral communication skills.
• Licensed to practice law in the jurisdiction or ability to become licensed promptly.

Education

• Juris Doctor (JD) degree.

Certifications

• Bar admission in relevant jurisdiction.

Skills

• Strong analytical and problem-solving abilities.
