Job Overview

A law firm seeks an Associate, Corporate/M&A in New York, NY to collaborate with partners and senior associates on various corporate law matters, including mergers and acquisitions, joint ventures, and cross-border transactions.

Duties

• Negotiate, draft, and review legal documents such as contracts and memorandums.
• Direct due diligence work for corporate transactions.
• Prepare and assist with the implementation of corporate transaction documentation.
• Conduct legal research and draft memoranda and briefs on corporate legal matters.
• Analyze legal consequences of transactions and advise on structuring and reorganization.

Requirements

• Three years of experience in drafting and preparing corporate legal transactional documents.
• Experience with domestic and international corporate legal transactions.
• Proficiency in advising on corporate governance and contract templates.

Education

• JD or foreign equivalent in a related field.

Certifications

• Bar admission in relevant jurisdiction preferred.

Skills

• Strong analytical and research skills.
• Excellent communication and negotiation abilities.
• Proficiency in managing cross-border transactions.
