Position Title: Senior Corporate Attorney

Job Overview: A prominent law firm in Pittsburgh, PA, is seeking a skilled and experienced Senior Corporate Attorney to join its Corporate Group. This role offers significant responsibility, client engagement, and a work-life balance within a collaborative team environment. The ideal candidate will bring expertise in corporate and commercial law, with a focus on transactions, mergers, acquisitions, and business planning.

Duties

• Support partners in all aspects of corporate and commercial law.
• Work independently to manage various legal tasks.
• Draft, negotiate, and review disclosure schedules and agreements for sales, acquisitions, mergers, and other commercial transactions.
• Develop, analyze, and refine commercial documents, including master service agreements, purchase orders, and supply, and distributor agreements.
• Provide counsel on new entity formations, drafting and reviewing formation documents, employment agreements, and owner buy-sell agreements.
• Conduct comprehensive legal research on corporate matters.
• Contribute to business development by promoting the firm's Corporate Group services to prospective and current clients.

Requirements

• Active law license in Pennsylvania.
• 7-10 years of substantial experience in corporate law, specifically in commercial transactions, mergers and acquisitions, and business planning.
• Demonstrated expertise in both written and oral communication.
• Strong analytical and problem-solving skills.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Pennsylvania State Bar License.
