Assistant General Counsel, Technology and Intellectual Property
The candidate will lead attorney responsible for the firm's market data modernization initiative which will centralize and modernize the way market data is identified, analyzed, and procured in order to advance the firm's ESG services. Partner with business leadership to develop, implement and negotiate new subcontracting terms with alliance partners to reduce the contracting lifecycle and outside counsel spend. Draft playbooks for sponsorship, procurement and logo agreements to enable business teams and KGS personnel to resolve issues without engaging OGC. Oversee and mentor the KGS resources assigned to technology and non-technology procurement transactions; be the point of contact for onshore procurement personnel – attend OGC and Procurement meetings, triage matters and continuously evaluate and modify existing terms to address new offerings and issues. Review, draft, revise, negotiate and advise on complex requests for proposal, consulting services agreements, master services agreement, engagement letters, subcontracts, nondisclosure agreements, access letters and other types of agreements consistent with the firm's risk management practices; manage outside counsel, as needed, to obtain optimal outcome and contain costs. Promote and encourage others to value difference when working in diverse teams; drive and take ownership for developing collaborative relationships which will help deliver what is best for our people and stakeholders. Should preferably have J.D. or LL.M. from an accredited law school; licensed to practice law in New York or Washington DC. Should have 10+ years of experience counseling clients on intellectual property issues.
