Associate Counsel
The candidate will be reviewing, drafting and negotiating a range of commercial contracts such as, master service agreements (MSA's), license agreements, supplier and subcontractor agreements, confidentiality agreements, various terms & conditions and other transactional documents; Analyzing and summarizing legal documents and complex business transactions and contracts; Anticipating and mitigating potential legal problems involving the company; Participating in the development of the corporation's plans and programs as a strategic partner; Involved in complex business transactions in negotiating critical contracts. Performing due diligence, negotiating and drafting of contracts for acquisitions (including letters of intent, asset purchase agreements and all related documentation); Legal support for the establishment of new foreign subsidiaries/branch offices; Assisting with the development and implementation of company policies and procedures; Reviewing and assessing current legal processes, structures and procedures (including control procedures); Identifying areas of weakness, recommending scope for improvement and implementing appropriate changes; Support General Counsel and outside counsel in managing litigations, third party subpoenas and regulatory investigations, and negotiating and responding to third party subpoenas; Supporting Human Resources department in drafting, updating and negotiating employment agreements, independent contractor agreements, and managing compliance with discrimination and harassment laws and regulations; Guiding managers on regulatory and compliance matters; Assist with ensuring the company conducts its business in compliance with applicable laws and regulations; Assist Business Units and Departments in articulating business needs in contract terms and respond to their requests for legal guidance and contract interpretation; Advise management on other general corporate law matters; and Assist/handle special projects, as needed. Meeting company standards pertaining to quantity and quality of work performed on an ongoing basis, performing all work related tasks in a manner that is in compliance with all Company policies and procedures. Adhering to Company policies, procedures, and directives regarding standards of workplace behavior in completing job duties and assignments. Should have 3+ years of general practice experience with strong focus on corporate and complex commercial transactions. Logistics, regulatory, employment, securities, anti-trust, privacy and compliance experience preferred. Must have Juris Doctorate and admission to practice before NJ superior and federal courts. Should have demonstrated experience with global orientation/Experience with international project management. Must have background coordinating with IT staff and management of accounting and ERP systems. Should have experience working with external auditors, bankers, risk management, attorney and other key business partners.
