Job Overview

A law firm seeks a Tax Associate to join its Business Transactions practice group in Minneapolis, MN. The ideal candidate will possess strong analytical and writing skills, excellent client service abilities, and a collaborative spirit. An LL.M. in Taxation is required, and experience in federal income taxation, entity selection, corporate governance, and business reorganizations is preferred.

Duties

• Advise clients on federal income tax matters and related business considerations.
• Assist with entity selection, formation, and organizational structuring.
• Draft, review, and negotiate contracts, business agreements, and transactional documents.
• Support corporate reorganizations, restructurings, and other business transactions.
• Conduct legal research and prepare memoranda regarding tax laws, regulations, and developments.
• Analyze tax implications of transactions and provide practical recommendations to clients.
• Collaborate with attorneys across practice groups to deliver comprehensive legal solutions.
• Participate in client meetings, due diligence efforts, and ongoing client counseling.

Requirements

• Missouri or Minnesota bar license or commitment to obtain one promptly.
• Demonstrated intellectual curiosity and sound judgment.
• Attention to detail and commitment to exceptional client service.

Education

• LL.M. in Taxation required.

Certifications

• Bar license in Missouri or Minnesota.
