Job Title: Employee Benefits and Executive Compensation Associate Attorney
Job Overview:
A Raleigh, NC-based law firm is actively seeking a mid-level associate to support its employee benefits and executive compensation practice. This role involves providing legal guidance on a variety of benefits-related matters, including retirement plans, health and welfare benefits, incentive structures, and compensation strategies, particularly in the context of corporate transactions. Duties:
Provide legal support regarding tax-qualified retirement plans, including plan administration, amendments, corrections, and government agency filings
Advise on regulatory compliance for health and welfare plans, including COBRA and ACA obligations
Draft and revise summary plan descriptions, wrap documents, and related participant disclosures
Create and maintain equity-based compensation arrangements such as stock options and restricted stock plans
Draft and advise on short- and long-term incentive compensation agreements
Conduct due diligence and assist with benefit plan reviews in corporate mergers and acquisitions
Prepare plan amendments, corporate resolutions, and disclosure documents
Analyze executive compensation arrangements involving Sections 409A and 280G
Guide employment agreements, severance terms, and executive-level benefits
Requirements:
3-5 years of focused experience in employee benefits and executive compensation within a large law firm or equivalent legal setting
Demonstrated ability to manage projects independently while contributing effectively to a collaborative legal team
Solid experience handling IRS and DOL compliance matters, including audits and voluntary correction program filings
Background in equity and incentive compensation with relevant tax compliance insight
Education:
Juris Doctor (J.D.) from an accredited law school
Certifications:
Admission to at least one U.S. State Bar in good standing
Skills:
Advanced legal research, writing, and analytical capabilities
Strong project management and organizational proficiency
Effective verbal communication and client advisory skills
Attention to detail and the ability to handle complex benefits regulations with precision
