Counsel/Senior Counsel
The candidate will support the Senior Vice President and General Counsel in providing comprehensive legal counsel and legal risk analysis related to firm’s operations. Essential Duties and Responsibilities may include the following: Advising management and business units on various legal issues, including federal and state laws and regulations across multiple jurisdictions; Providing legal support and advice regarding a breadth of corporate, SEC, and governance matters; Providing counsel on transactions, joint ventures and complex commercial transactions; Drafting, negotiating and reviewing contracts dealing with a wide variety of subject matters; and Other duties and projects assigned by Senior Vice President and General Counsel. Should have Juris Doctorate from an accredited law school and 8 years of progressive legal experience with a top law firm and/or in-house at a public company. Public company and securities experience and/or employment experience is preferred. Knowledge of racing and/or gaming industry helpful. Must be licensed to practice law in the Commonwealth of Kentucky, eligible for reciprocity or otherwise eligible to obtain a limited certificate of admission to practice law in the Commonwealth of Kentucky solely for the Company under Kentucky Supreme Court Rule 2.111. Should have excellent written and oral communication skills. Must have ability to manage and prioritize multiple projects simultaneously and independently; ability to establish credibility and provide solutions; and ability to provide real-time advice on business and legal issues. Must have a proven track record of direct client contact and be comfortable interacting with senior leadership.
