Corporate and Securities Associate Attorney

A law firm is seeking a Corporate and Securities Associate Attorney for their Minneapolis, MN office. The Corporate and Securities Associate Attorney will work within the Corporate and Securities Practice Group, providing legal support and assistance on transactional matters. The ideal candidate will have 3-7 years of experience, a commitment to transactional practice, superior academic performance, and excellent communication skills.

Duties:

• Assist in the drafting and review of corporate governance documents, such as bylaws and resolutions.
• Participate in due diligence reviews for mergers, acquisitions, and securities offerings.
• Prepare and file regulatory filings with government agencies, including the SEC.
• Assist with the negotiation and drafting of transactional documents, such as purchase agreements and shareholder agreements.
• Provide legal advice and guidance to clients on corporate and securities matters.
• Collaborate with senior attorneys and clients to develop and implement legal strategies.
• Stay updated on developments in corporate and securities law.

Requirements:

• 3-7 years of experience in corporate and securities law.
• 3+ years of relevant law firm experience.
• Commitment to transactional practice.
• Superior academic performance.
• Excellent communication skills.

Education:

Juris Doctor (J.D.) degree from an accredited law school.
