Duties
- Advise funds in all stages of operations, including preparing offering materials.
- Draft partnership, limited liability company, and other governing agreements.
- Process investor subscription documents and negotiate with investors.
- Draft side letters and counsel fund managers on securities laws and fund structures.
- Advise on general fund operations, including compliance and regulatory matters.
Requirements
- JD from 2023 - 2024.
- Previous large law firm experience required.
- High level of academic achievement from a nationally recognized law school.
- Strong preference for candidates licensed to practice law in Massachusetts.
Education
- Juris Doctor (JD) degree.
Certifications
- Licensed to practice law in Massachusetts preferred.
Skills
- Experience with private investment funds, venture capital, and private equity.
- Regulatory experience with the Investment Company Act of 1940, the Investment Advisers Act of 1940, and the Securities Act of 1933 is a plus.
