Legal Counsel - Corporate Transactions
The candidate will assist with all corporate legal matters in assigned areas. Work with internal clients to ensure the achievement of desired business results in a manner that is consistent with principles, directives, policies, and guidelines. Provide legal advice and client counseling to internal clients in complex matters, including contractual matters, legal compliance, and dispute resolution. Structure, negotiate and draft legal documents, including contracts for purchase or sales of goods or services. Interface with external customers, suppliers and their respective legal counsel. Reports to the Associate General Counsel – Business for North America. Conduct Legal research as required. A law degree from an accredited United States law school and a member in good standing with a State Bar, preferably the Texas State Bar. Should have 4-6 years of experience with a major law firm or in-house legal department engaged in corporate and commercial transaction practice, preferably having familiarity with the telecommunications industry. Basic computer skills, including proficiency in MS Office applications. Excellent oral and written communication skills, exceptional problem-solving skills, and ability to build internal relationships. Sound legal and business judgment. Some domestic and international travel is required. Extensive experience drafting and negotiating supply agreements and sales agreements. Ability to think analytically with strong attention to detail. Excellent communication and interpersonal skills and ability to interact professionally with a diverse groups of outside counsel and Ericsson executives and managers. Able to work independently and with a defined framework of responsibilities. Must be able to maintain strict confidentiality of information. Understands and ensures that quality standards are met on assigned tasks and deliverables. Proactively communicates and collaborates with Ericsson employees to analyze information needs and meet deadlines.
