Job Overview:

The Mergers And Acquisitions Corporate Associate Attorney will handle corporate transactional matters, particularly focusing on private company mergers and acquisitions, corporate governance, commercial contracts, LLC/shareholder agreements, and providing counsel on various general corporate matters for middle market companies. Duties:

• Handle corporate transactional matters, primarily focusing on mergers and acquisitions.
• Provide legal counsel on corporate governance matters.
• Draft and review commercial contracts, LLC/shareholder agreements, and other related documents.
• Advise middle market companies on various general corporate matters.
• Conduct legal research and analysis as required.
• Assist with due diligence processes for mergers and acquisitions.

Requirements:

• 3-5 years of corporate transactional experience.
• Experience with private company mergers and acquisitions.
• Familiarity with corporate governance principles.
• Proficiency in drafting and reviewing commercial contracts, LLC/shareholder agreements, etc.
• Ability to conduct legal research and analysis.
• Strong writing and communication skills.
• Capability to work collaboratively and thrive in a fast-paced environment.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications (Optional):
