Securities Associate Attorney

Profile

A law firm in Chicago is seeking a Securities Associate Attorney with 5+ years of experience. The ideal candidate will have experience in the 1934 Act.

Duties:

• Provide legal counsel and representation to clients on securities law matters.
• Draft and review securities-related documents, including registration statements, prospectuses, and periodic reports.
• Conduct legal research and analysis on securities regulations and compliance issues.
• Assist with securities offerings, mergers and acquisitions, and other corporate transactions.
• Advise clients on corporate governance matters and compliance with securities laws.
• Represent clients in regulatory investigations and enforcement actions by the SEC or other regulatory agencies.
• Assist with due diligence reviews in securities-related transactions.
• Collaborate with internal teams and external parties to facilitate securities transactions.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• 5+ years of experience in securities law.
• Strong knowledge of the 1934 Act.
• Admission to the Bar in the relevant jurisdiction.
• Excellent written and verbal communication skills.
• Strong analytical and problem-solving abilities.
• Ability to work independently and as part of a team.
• Detail-oriented with strong organizational skills.
