A prominent global corporate practice is seeking a Mid-Level to Senior Associate Attorney with 4-6 years of experience to join its New York office. The ideal candidate will have substantial experience representing both public and private clients in M&A, private equity, venture capital, securities offerings, and general corporate matters. This position offers an exciting opportunity to handle complex transactions, draft and negotiate key documents, and play a pivotal role in deal teams for a wide range of middle-market M&A and private equity transactions.

Duties

• Represent public and private clients in M&A, private equity, venture capital, and general corporate matters.
• Draft and negotiate complex M&A and private equity transaction documents, including investment agreements.
• Manage key aspects of middle-market transactions, including due diligence, deal structuring, and closing.
• Produce client-ready acquisition and equity documents.
• Collaborate with senior associates and partners on transactions and provide support for all aspects of corporate matters.
• Lead and oversee the work of junior associates and other support staff.

Requirements

• 4-6 years of experience in M&A, private equity, and general corporate law.
• Proven experience drafting, negotiating, and managing complex M&A and private equity transactions.
• Strong understanding of securities law and compliance matters.
• Experience working as a key member of deal teams and managing due diligence through closing.
• Ability to manage multiple tasks simultaneously in a fast-paced environment.
• Excellent analytical, drafting, and negotiation skills.
• Strong communication skills and the ability to engage directly with clients.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in New York (or eligibility to waive in).

Skills

• Proficient in M&A and private equity transaction structuring.
• Expertise in securities law compliance and regulatory matters.
• Strong drafting and document review skills.
• Excellent verbal and written communication.
