Job Overview: A distinguished law firm based in Pittsburgh is looking to expand its Corporate practice by hiring an experienced Corporate Markets Attorney. The firm is seeking a highly skilled attorney with a focus on private capital markets. This is an excellent opportunity for a seasoned legal professional interested in working with a collaborative and innovative team, representing corporate clients in complex private securities offerings and entity agreements.

Duties:

• Represent issuers and investors in private securities offerings.
• Draft and negotiate key legal documents, including limited liability company agreements, partnership agreements, stockholder’s agreements, articles of incorporation, and certificates of designation.
• Advise on provisions establishing common and preferred equity securities.
• Provide counsel on equity-based employee compensation, including preparing equity incentive plans and awards.
• Maintain and expand relationships with existing clients.
• Develop and manage business opportunities within the firm’s corporate practice.

Requirements:

• A minimum of 8 years of legal experience in private securities offerings and entity agreements.
• Proven track record in drafting and negotiating complex corporate legal documents.
• Exceptional communication skills, both written and verbal.
• Ability to foster and maintain client relationships.
• Strong business development skills and a client-focused approach.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

• Licensed to practice law in the relevant state.

Skills:

• Expertise in private securities offerings and corporate governance.
• Strong drafting and negotiation skills.
• Experience with equity-based compensation structures.
• Ability to work independently and as part of a team.
• Business development acumen and client relationship management.
