The ideal candidate should possess a strong background in securities offerings and 34 Act filings, excellent academic credentials and superior analytical, verbal, and written communication skills.

Duties:

• Provide legal counsel on corporate matters, mergers and acquisitions, and securities law.
• Draft and review legal documents related to mergers, acquisitions, and securities offerings.
• Conduct due diligence and risk assessments for corporate transactions.
• Advise clients on compliance with securities regulations, including 34 Act filings.
• Negotiate and structure deals to meet client objectives.
• Handle legal aspects of corporate governance and regulatory compliance.

Requirements:

• 5-7 years of relevant experience in corporate law, mergers and acquisitions, and securities.
• Previous experience at a law firm specializing in securities offerings and 34 Act filings.
• Juris Doctor (JD) degree from an accredited law school.
• Admission to the State Bar in Missouri.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the State Bar in Missouri.
