Part-Time Corporate Paralegal
The candidate will be responsible for: Organize backlog of corporate maintenance, registrations, and professional licenses. Verify the accuracy of currently housed information. Obtain corporate forms from various Secretary of State and municipal internet sites; analyze and fulfill state and local requirements. Register the Company’s entities to do business in states and municipalities across the country. Track and maintain the renewals of those registrations. Submit applications for professional licenses for the Company’s entities in states and municipalities across the country. Track and maintain the renewals of those licenses. Prepare, file, and organize articles of incorporation, limited liability company certificates of formation, minutes, annual reports, transactional resolutions, incumbency certificates, and amendments and other documents for the Company’s entities. Organize and maintain digital minute books. Create and manage Excel spreadsheets designed to track deadlines and create reports. Collaborate with internal professionals to structure, draft, review, and negotiate contracts within defined parameters (e.g., master services agreements with clients and subcontractors, amendments to those agreements, leases, and non-disclosure agreements). Ensure accuracy of agreements, amendments, renewals and extensions; perform contract follow-up activities as required. Perform on-line searches to obtain information on corporations and other entities. Create, maintain, and improve internal policies and processes relating to contract lifecycle management. Work with attorneys to create and revise contract templates. Work with internal clients and attorneys to set appropriate priorities and deliver results within established timelines on assigned contract issues. Handle special projects as assigned. Other duties as assigned. Must have Bachelor’s degree. Paralegal certificate preferred. Should have 3-8 years of corporate paralegal experience, preferably in an in-house setting. Must be proficient in working with Word and Excel, PowerPoint a plus; familiarity with Deltek Vision and Wrike (or similar systems) a plus, detailed knowledge of navigating and interacting with various state and city agencies/departments; strong ability to prioritize and work efficiently.
