Duties

• Assist private equity fund sponsors with fund formation, including drafting and negotiating private placement memoranda and partnership agreements.
• Review fund documentation for institutional investors and negotiate fund terms.
• Structure and draft governing documents for fund management companies and general partners.
• Engage in private equity secondary transactions and GP-led restructurings.

Requirements

• 4-6 years of experience in private equity fund formation.
• Experience in a large law firm or in-house setting preferred.
• Admitted to the state bar of the office location.

Education

• Juris Doctor (JD) degree required.

Certifications

• State bar admission in the office location.

Skills

• Strong knowledge of securities rules and regulations, including the Investment Advisers Act.
• Proficiency in drafting and negotiating complex legal documents.
