A law firm seeks a corporate associate with at least 5 years of experience in public company and capital markets, located in Los Angeles, CA. The ideal candidate will have a strong background in public company reporting compliance, governance, and related issues, including SEC compliance and Nasdaq/NYSE regulations.

Duties

• Ensure compliance with public company reporting and governance requirements.
• Advise on SEC compliance and disclosure matters.
• Manage Nasdaq/NYSE compliance issues.
• Represent issuers or investment banks in capital markets transactions.
• Handle IPOs, equity/debt offerings, and PIPEs.
• Engage in at-the-market offerings.
• Work with technology and/or life sciences companies.

Requirements

• Minimum 5 years of relevant experience.
• Extensive knowledge of public company compliance and governance.
• Experience with capital markets transactions.
• Familiarity with SEC, Nasdaq, and NYSE regulations.
• Experience with technology and/or life sciences sectors is a plus.

Education

• Juris Doctor (JD) degree required.

Certifications

• Active bar membership in good standing.

Skills
