Responsibilities: Counsel clients on entity selection and structure; Establish and properly maintain entities; Draft Bylaws, Minutes, and Actions, as well as maintaining and updating Record Books; Draft Operating Agreements, Shareholder Agreements, Buy-Sell Agreements; Draft employment-related agreements, such as confidentiality agreements, restrictive covenants, severance agreements; Draft business contracts, such as consulting agreements, service agreements, independent contractor agreements, statements of work, terms and conditions; Draft letters of intent, memorandum of understanding, and term sheets for deals; Draft asset purchase agreements, share/stock/interest purchase agreements, and accompanying deal documents; Draft commercial lease agreements, as well as commercial real estate purchase and sale agreements; Draft assignments, indemnification agreements, release agreements; Meet Required Minimum Billing Hours –1,850 hours/annually.
