Assistant General Counsel, Corporate Law

The candidate will be helping Conduent comply with all public company requirements, including quarterly reports, current reports, NASDAQ rules, and related Conduent policies. Leading or addressing legal needs in connection with any financing, M&A, or other corporate transactions. Leading a small team that includes corporate governance functions, board support functions, IP, entity management, and real estate. Playing a key role in preparing for quarterly and special board meetings. Leading the legal review of earnings releases, investor presentations, and press releases. Leading the preparation for the annual meeting, including the proxy statement. Reviewing all corporate communications materials and generally ensuring that Conduent’s public-facing communication and marketing are aligned and compliant. Serving as the Legal Department “relationship partner” for Treasury, M&A, Finance, and Marketing. Addressing any SEC, FINRA, or Nasdaq comment letters, correspondence, or other matters. Managing Conduent’s insider trading policy as well as Section 16 compliance. Collaborating closely with other Legal and Compliance Department colleagues and functional support groups to provide general legal advice and counsel. Acting on behalf of the General Counsel as directed by the General Counsel.
