Job Overview

A law firm seeks a mid-level Corporate & Securities Associate with mergers and acquisitions experience to support its growing national corporate practice. This is a fully remote position with a preference for candidates located within the PST or MST time zones in the United States.

Duties

• Support clients on commercial agreements and tech transactions.
• Draft shareholder agreements and LLC operating agreements.
• Take board minutes and draft resolutions.
• Manage mergers and acquisitions, including due diligence and document drafting.
• Handle joint ventures and capital markets transactions.
• Assist with public company reporting.

Requirements

• 2-4 years of experience with corporate clients at a top-tier law firm.
• Experience in managing strategic transactions.
• Ability to draft and review transaction documents and disclosure schedules.
• Familiarity with anti-sandbagging and indemnity clauses.
• Knowledge of Reg D, Rule 144A, and Reg S offerings.
• Willingness to expand skills across the practice group.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in the United States.
