Job Overview

A law firm seeks a Senior Commercial Counsel to join their team remotely within the United States. This role involves serving as the primary legal contact for the GTM team, negotiating various commercial contracts, and contributing to the development of legal infrastructure.

Duties

• Draft, review, and negotiate SaaS customer agreements, order forms, DPAs, partner and channel agreements, vendor contracts, and NDAs.
• Manage deals from start to finish, coordinating with finance, security, product, and engineering teams as needed.
• Maintain and update legal templates, negotiation playbooks, and self-service paths for routine transactions.
• Design and implement AI and automation workflows for contract processes.
• Train GTM and cross-functional teams to integrate sound legal judgment into business operations.

Requirements

• JD and active bar admission in good standing in at least one US jurisdiction.
• 5+ years of commercial transactional experience, with expertise in SaaS and technology agreements.
• Proven ability to independently manage commercial deals to completion.
• Strong legal operations skills, with experience in process improvement and automation.
• Sound business judgment and pragmatic approach to contract negotiation.
• Fluency in privacy requirements related to commercial contracting.
• Excellent written and verbal communication skills.
• Comfortable working in a fast-paced, lean team environment.

• Juris Doctor (JD)
