The ideal candidate will have experience in M&A and general corporate counseling, working on complex domestic and cross-border transactions across various industries.

Duties

• Work on mergers, acquisitions, and divestitures.
• Provide general outside corporate counsel for privately held companies.
• Advise on corporate governance, entity formation, and ongoing business counseling.
• Handle private equity investments and portfolio company transactions.
• Participate in joint ventures.
• Manage debt and equity financing transactions.
• Draft and negotiate principal transaction documents.
• Coordinate due diligence and supervise junior attorneys.
• Interact directly with clients.

Requirements

• 4-6 years of sophisticated transactional experience.
• Experience in M&A and general corporate counseling.

Education

• Juris Doctor (JD) degree.

Certifications

• Admitted to practice law in Pennsylvania.

Skills

• Strong drafting and negotiation skills.
• Ability to manage significant portions of transactions.
• Excellent client interaction capabilities.
