Job Overview

A well-established law firm in Northern California is seeking a full-time Business Attorney to join its collaborative legal team. The ideal candidate will have at least 5 years of experience in business law, real estate transactions, land use, or estate planning. Alternatively, candidates with 1–3 years of legal experience and a strong desire to grow in these practice areas are also encouraged to apply. This role offers direct mentorship from senior attorneys and a supportive environment for professional development in a hybrid work setting.

Location

• Santa Rosa, CA

Duties

• Represent clients in business transactions including:

  • Entity formation, governance, mergers, acquisitions, and joint ventures

  • Sales, spin-offs, restructurings, and financing transactions

  • Loan agreements and capitalization issues

• Advise clients on real estate transactions such as:

  • Acquisitions, sales, and leasing

  • CC&Rs and HOA governance

  • Land use, CEQA, and code enforcement matters

  • Property tax appeals and counseling

• Provide estate planning services to high-net-worth clients including:

  • Estate and gift tax planning

  • Trust administration and probate proceedings

• Draft legal documents, provide strategic advice, and manage client communications

• Collaborate with partners and colleagues on complex, multi-disciplinary matters

Requirements

• Minimum 5 years of experience in at least one of the following: business law, real estate, land use, or estate planning

  • Candidates with 1–3 years of legal experience and a demonstrated interest in these areas will also be considered

• Strong work ethic and eagerness to develop legal expertise

• Willingness to work in and/or relocate to Sonoma County

Education

• Juris Doctor (J.D.) from an accredited law school

Certifications

• Active and in good standing with the California State Bar

• No disciplinary history

Skills

• Exceptional legal research, writing, and analytical skills

• Ability to draft, review, and negotiate transactional documents with precision

• Strong interpersonal communication and client-relations skills

• Ability to work independently and collaboratively in a team-based environment
