Duties

• Handle a variety of corporate and transactional legal matters, including:

  • Mergers and acquisitions

  • Entity formation, conversions, and restructuring

  • Real estate development and commercial transactions

  • Drafting and negotiating commercial contracts and related documents

• Advise clients on corporate governance, compliance, and deal strategy

• Conduct due diligence and support all phases of transaction closings

• Work collaboratively with internal teams and external stakeholders

• Manage multiple matters while maintaining strong attention to detail and deadlines

Requirements

• Minimum of 3 years of experience in corporate and transactional law

• Demonstrated ability to handle complex business transactions independently

• Experience in at least two or more of the following areas: M&A, real estate development, business formation, or commercial contracts

Education

• Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

• Active member in good standing with the California State Bar
